Terms and Conditions

The Decentryk.com and LaserMinter.com websites are owned and operated by Decentryk Corporation. These Terms set forth the terms and conditions under which you may use our websites, products and services as offered by us. These websites currently offer visitors the ability to pre-order and purchase our LaserMinter products (that integrate both hardware and software components) with full payment in advance. By accessing or using the websites, our products or our services, you approve that you have read, understood, and agree to be bound by these Terms.

 

In order to use our websites and/or pre-order our products, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services or products if doing so is prohibited in your country or under any law or regulation applicable to you.

 

When pre-ordering or buying an item, you agree that: (i) you are responsible for reading the full item listing and description before making a commitment to buy it: (ii) you enter into a legally binding contract to purchase an item when you commit to buy an item and you complete the check-out payment process.

 

The prices we charge for pre-ordering and purchasing our products are listed on the websites. All products and product bundles offered for pre-order on the LaserMinter.com website are listed with prices for each product or product bundle. We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur. Additional information about pricing, delivery costs and sales tax is available on the payments page.

 

The fee for the products, services, and any other charges you may incur in connection with your use of the product or service, such as taxes, shipping costs and possible transaction fees, will be charged to your selected payment method.

 

Products offered for pre-order will typically be shipped within a 3 month to 4 month period after receipt of order and payment in full. However potential supply chain issues mean that late deliveries can occur and shipping may take as long as 5 months after receipt of order. The company is not liable for any additional costs you may incur due to late or non-delivery within the stipulated maximum shipping time of 5 months ARO. If the product has not been shipped to you within 5 months of receipt of order then you will be entitled at your discretion to cancel your purchase order and receive a refund in full (less restocking costs that cannot exceed 20% of the total purchase price).  No order cancellations can be made or refunds will be offered to you until your order has failed to ship within 5 months of you placing your initial order.

 

We offer our LaserMinter products with either a 1 year or 2 year full replacement warranty on all hardware components depending on product bundle and options. We offer free upgrades and bug fixes for all software components for the lifetime of the product. We do not offer any return options for undamaged hardware products during or after the warranty period  for that product bundle.  We do not offer any return and replacement of damaged or non-working hardware after the quoted warranty period has expired.

 

When we receive a valid warranty claim for a damaged or non-working hardware product component purchased from us, we will replace the product component with a new product within a reasonable time once the non-working product has been received and examined by us at our premises in Miami, FL, USA. If the product is verified as damaged or non-working we will pay for shipment of replacement products to the customer. The customer will be responsible for the costs of the return shipment of the non-working or damaged product to us.

The LaserMinter product contains a high power laser device that produce dangerous optical radiation at wavelengths in either the ultra-violet, visible or infrared parts of the electromagnetic spectrum. Every product is shipped with eye-safety accessories including laser goggles and marking guards for the specific wavelength of laser light emitted by each specific product. However it is the customers (and their designated users) responsibility to always follow standard laser eye-safety procedures when operating LaserMinter products. and to always adhere to recommended laser eye-safety protocols in your specific region, state and country. We accept no responsibility or liability for any personal damages or medical injuries that may occur to you (or your designated users) while operating the LaserMinter product. This zero liability condition applies to any use of the product regardless of whether it is operating as designed or it malfunctions in any way. Furthermore it is the customers responsibility to become educated on and fully aware of all recommended laser eye safety guidelines and regulations in your specific region, state or country.

The LaserMinter product could also potentially be used incorrectly by yourself (or your designated users) or malfunction so that it causes material damage to physical items or valuable assets. We accept no responsibility or liability for any material damages to physical items that may occur while you (or your designated users) operate the LaserMinter product. This zero liability condition applies to any use of the product regardless of whether it is operating as designed or it malfunctions in any way.

The LaserMinter product integrates both hardware and software components and connects to some online database services and 3rd party blockchain networks to function properly. These online database services and 3rd party blockchain networks may temporarily lose internet connection or cease to function properly from time to time. We are not responsible or liable for the continual provision of such services and networks without occasional interruption. We will endeavor to solve any internet connection and network service issues as quickly as possible to maximize the product uptime. We are also not responsible or liable in any way for any costs incurred by the customer due to potential loss of revenues or productivity while these online services and blockchain networks are not operating properly or lose connection.

You agree that you will not use the LaserMinter product to add phygital passports to counterfeit or fake products, or for products that you are not licensed by the manufacturer or authorized vendor to legally sell. Note that we use our own authentication technology on our own products. Each LaserMinter comes with its own Phygital Passport that can be de-activated by Decentryk if used for non-approved or authorized activities such as for counterfeit products. If we receive reports or identify the non-approved use of a LaserMinter being used to add phygital passports to counterfeit, fake or unlicensed products we will immediately suspend or remove your LaserMinters access to the 3FA verification library for that LaserMinter unit. Consequently way will not be able mint a phygital passport and store the 3rd phygital QR code on our 3FA Verification Library. We also reserve the right to sue you and claim potential damages against our brand (or the product manufacturers brand on their behalf), if you use a LaserMinter for an unauthorized purpose.

When purchasing a LaserMinter we ask for a significant amount of personal and company details to satisfy our KYC / AML / Anti-Counterfeiting requirements in most countries. We reserve the right to refuse to accept a pre-order or product order based on unsuitable submissions for personal or company details that do not pass our KYC / AML / Anti-Counterfeiting verification process. In this case of customer verification failure, if your order was initially accepted with payment processed then it may be later cancelled at any time and a refund given to you.

 

We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review these page periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms. Your continued use of the Website or our service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the website or the service.

 

You agree to receive from time to time promotional messages and materials from us, by mail, email or any other contact form you may provide us with (including your phone number for calls or text messages). If you don't want to receive such promotional materials or notices – please just notify us at any time. 

 

These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the services, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of the US state of Delaware, without respect to its conflict of laws principles. Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in Dover, Delaware, USA. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.
